1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Kohar Innovation Limited, a corporation incorporated under the laws of British Columbia, Canada ("Kohar Innovation Limited," "we," "us," or "our"), governing your access to and use of the website located at startwithfranchise.ca, including all associated services, features, content, and applications (collectively, the "Platform").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

2. Description of Service

StartWithFranchise.ca is an online information platform that provides franchise directory listings, comparison tools, educational resources, and lead generation services to assist individuals exploring franchise and business ownership opportunities in Canada. The Platform aggregates franchise information from publicly available sources and from listings submitted by franchise brands, business brokers, and other third parties.

3. Non-Affiliation Disclaimer

StartWithFranchise.ca is NOT affiliated with, endorsed by, sponsored by, or otherwise connected to any franchise brand, franchisor, or business listed on the Platform. The inclusion of any franchise brand, business name, logo, or trademark on the Platform does not imply, suggest, or constitute any business relationship, partnership, joint venture, agency, endorsement, or approval between Kohar Innovation Limited and the listed entity.

All franchise information displayed on the Platform is gathered from publicly available sources, including franchise disclosure documents, press releases, corporate websites, and other publicly accessible materials. Kohar Innovation Limited operates independently as an information aggregator and does not act as an agent, representative, or authorized dealer of any franchise brand.

4. Intellectual Property and Trademarks

4.1 Platform Content

The Platform, including its design, layout, text, graphics, images, software, code, and all other content created by Kohar Innovation Limited (collectively, "Our Content"), is the exclusive property of Kohar Innovation Limited and is protected by Canadian and international copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit Our Content without our prior written consent.

4.2 Third-Party Trademarks

All franchise names, brand names, logos, trademarks, service marks, and trade dress displayed on the Platform are the property of their respective owners. The display of third-party trademarks on the Platform is for informational and identification purposes only and does not constitute or imply endorsement, sponsorship, or recommendation by the trademark owner, nor does it constitute or imply endorsement of the trademark owner by Kohar Innovation Limited. All trademarks not owned by Kohar Innovation Limited are used in a nominative, descriptive, and fair-use capacity.

5. No Guarantee of Accuracy

The Platform provides franchise and business information for general comparison and informational purposes only. Kohar Innovation Limited makes no representations, warranties, or guarantees, whether express, implied, or statutory, regarding the accuracy, completeness, reliability, timeliness, or suitability of any information presented on the Platform.

Investment amounts, franchise fees, royalty rates, startup costs, revenue figures, unit counts, and all other financial or operational data are estimates or approximations unless explicitly verified by the listing owner. Information may be outdated, incomplete, or contain errors. Users must conduct their own independent due diligence, consult with qualified legal, financial, and business advisors, and verify all information directly with the relevant franchise brand before making any investment or business decision.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KOHAR INNOVATION LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of, or inability to use, the Platform;
• Any franchise investment, business acquisition, or financial decision made based on information found on the Platform;
• Any transaction or relationship between you and any franchise brand, business broker, real estate agent, or other third party listed on or connected through the Platform;
• The accuracy, completeness, or reliability of any listing, content, or information on the Platform;
• Any unauthorized access to or alteration of your data or transmissions;
• Any user-generated content, including reviews, ratings, claims, or listings submitted by third parties;
• Any interruption, suspension, or termination of the Platform or any part thereof.

Kohar Innovation Limited is not a franchise broker, business broker, financial advisor, investment advisor, or legal advisor. The Platform is an information resource only, and no content on the Platform constitutes professional advice. In no event shall the total liability of Kohar Innovation Limited exceed the amount you paid to us, if any, in the twelve (12) months preceding the event giving rise to the claim.

7. Listing Removal Requests

Any franchise brand, business, organization, or individual who believes their information has been listed on the Platform without authorization or who wishes to have their listing removed may submit a removal request by contacting us at hello@startwithfranchise.ca. Please include the name of the listing, the URL where it appears, and your relationship to the listed entity. We will review and process removal requests within five (5) business days of receipt.

8. User-Generated Content

8.1 Responsibility

The Platform may allow users to submit reviews, ratings, claims, listings, comments, and other content ("User Content"). User Content is the sole responsibility of the individual or entity that submitted it. Kohar Innovation Limited does not endorse, verify, or guarantee the accuracy of any User Content and shall not be held liable for any claims arising from User Content.

8.2 License Grant

By submitting User Content, you grant Kohar Innovation Limited a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable license to use, reproduce, modify, publish, distribute, and display such content in connection with the operation of the Platform.

8.3 Content Moderation

Kohar Innovation Limited reserves the right, but has no obligation, to review, edit, or remove any User Content that, in our sole discretion, violates these Terms, is fraudulent, defamatory, misleading, offensive, or otherwise objectionable. We may remove content without prior notice.

9. User Accounts

Certain features of the Platform require you to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete registration information;
• Maintain and promptly update your account information to keep it accurate and current;
• Maintain the security and confidentiality of your login credentials;
• Accept responsibility for all activity that occurs under your account;
• Notify us immediately of any unauthorized use of your account or any security breach.

You may not share your account credentials with any other person or allow any other person to access your account. Kohar Innovation Limited is not liable for any loss or damage arising from your failure to maintain the security of your account.

10. Acceptable Use

You agree not to use the Platform to:

• Scrape, crawl, harvest, or use automated tools to extract data from the Platform without our prior written consent;
• Submit false, fraudulent, misleading, or fake listings, reviews, ratings, or other content;
• Impersonate any person, business, franchise brand, or entity, or misrepresent your affiliation with any person or entity;
• Interfere with, disrupt, or impose an unreasonable burden on the Platform's infrastructure, servers, or networks;
• Attempt to gain unauthorized access to any part of the Platform, other accounts, or computer systems;
• Use the Platform for any purpose that is unlawful or prohibited by these Terms;
• Reproduce, duplicate, copy, sell, resell, or otherwise exploit the Platform or any portion thereof for commercial purposes without our express written permission;
• Transmit any viruses, malware, or other harmful code;
• Harass, abuse, threaten, or intimidate other users of the Platform.

11. Lead Submission and Inquiries

When you submit an inquiry form on the Platform, your contact information and inquiry details may be shared with the relevant franchise brand, business broker, real estate agent, or their authorized representatives. By submitting an inquiry, you consent to being contacted by such parties regarding the opportunity you expressed interest in. Kohar Innovation Limited is not responsible for the communications, conduct, or practices of any third party you connect with through the Platform.

12. Payment Terms

12.1 Subscriptions

Certain features of the Platform, including the business portal, require a paid subscription. Subscriptions are processed through Stripe. By purchasing a subscription, you agree to pay all fees associated with the plan you select.

12.2 Billing

Subscriptions are billed on a recurring basis (monthly or annually, depending on your plan). Your payment method will be automatically charged at the beginning of each billing cycle unless you cancel before the renewal date.

12.3 Refund Policy

All subscription fees are non-refundable. No refunds or credits will be issued for partial subscription periods, unused features, or early cancellation. You may cancel your subscription at any time, and your access will continue until the end of your current billing period.

12.4 Price Changes

Kohar Innovation Limited reserves the right to change subscription prices at any time. Price changes will take effect at the start of your next billing cycle, and we will provide you with reasonable notice of any price increase.

13. Indemnification

You agree to indemnify, defend, and hold harmless Kohar Innovation Limited, its directors, officers, employees, agents, contractors, and affiliates from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or access to the Platform;
• Your violation of these Terms;
• Your violation of any third-party rights, including intellectual property or privacy rights;
• Any User Content you submit to the Platform;
• Any franchise investment, business transaction, or decision you make based on information obtained through the Platform.

14. Termination

Kohar Innovation Limited reserves the right to suspend or terminate your account and access to the Platform, in whole or in part, at any time and for any reason, including but not limited to violation of these Terms, fraudulent activity, abusive conduct, or any other behaviour that we determine, in our sole discretion, to be harmful to the Platform or its users. We may effect such termination without prior notice and without liability to you.

Upon termination, your right to use the Platform will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 3, 4, 5, 6, 8, 13, 15, 16, and 17.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts of the Province of British Columbia, and you irrevocably consent to the jurisdiction and venue of such courts.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the remaining provisions of these Terms, which shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

17. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Kohar Innovation Limited with respect to your use of the Platform and supersede all prior or contemporaneous communications, proposals, agreements, and understandings, whether oral or written, between you and Kohar Innovation Limited regarding the subject matter hereof.

18. Changes to These Terms

Kohar Innovation Limited reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
